Recently, Grandall Beijing Office provided full-process legal services for Beijing Dongcheng District State-owned Capital Operation Co., Ltd. (“Dongcheng State-owned Company” or the “Company”) on its non-public offering of corporate bonds (1st session) to professional investors. The issuance scale is RMB 1.7 billion with a term of 5 years, a coupon rate of 2.10%, and the principal credit rating as AAA., marking the lowest coupon rate in the history for the same type of corporate bonds at the same term issued by enterprises affiliated to districts of Beijing.
Recently, iSpace Aerospace Technology Group Co., Ltd. ("iSpace") announced the completion of the first closing in its D-round financing of hundreds of millions yuan. This round of investment was made by Sichuan Tianfu Xinyun Digital Economy Development Fund Co., Ltd. ("Tianfu Xinyun Fund"). On 16 January 2025, the registration for major asset restructuring filed by Shaanxi Fenghuo Electronics Co., Ltd. (000561.SZ, “Fenghuo Electronics”), was passed and approved by the Merger and Reorganization Review Committee of Shenzhen Stock Exchange. Later on 10 March, China Securities Regulatory Commission approved and consented to its registration, marking the first major asset restructuring project that has passed the review of the Shenzhen Stock Exchange in 2025.
On 11 March 2025, Yong Jie New Material Co., Ltd. (603271.SH) successfully listed on the mainboard of Shanghai Stock Exchange, marking a milestone in the company’s development.
On 10 February 2025, Hui Lyu Ecological Technology Groups Co., Ltd. (001267.SZ, “Hui Lyu”), successfully completed a major asset restructuring project, for which Grandall Wuhan acted as the legal advisor. In this deal, Hui Lyu subscribed for the registered capital of the target company amounting to RMB 18,623,800 in cash, and the consideration was RMB 245,834,160. After this restructuring, Hui Lyu holds a 51% equity stake in the target company.
Recently, Shanghai Fourier Intelligence Co., Ltd. announced the completion of a new round of financing. The total amount of Series E financing has reached nearly RMB 800 million. In this transaction, Grandall Shanghai assisted Shanghai Guoxin Investment Development Co., Ltd., Shanghai Pudong Leading Area Investment Center (Limited Partnership), and Shanghai Zhangjiang Hi-Tech Venture Capital Co., Ltd. in completing the equity investment in Fourier, with partners Lin Lin and Geng Chen, and lawyers Feng Lu and Chen Yiqiu serving the case.
On 10 January 2025, Numans Health Food Holdings Company Limited (2530.HK, “Numans”), a leading enterprise in China's maternal and infant algal oil DHA market, successfully listed on the Main Board of Hong Kong Stock Exchange. Grandall Shenzhen Office has been retained as the Chinese domestic legal advisor to the sponsor and underwriter for Numans' initial public offering and listing on the HKEx. The legal team include WU Jianshe, LIU Tianning and ZHANG Weimin, partners of Grandall Shenzhen, and lawyer LIU Qian.
On 10 January 2025, the project of Shanghai Gentech Co., Ltd. (688596.SH, “Gentech”) issuing convertible bonds was passed and approved at the 1st review meeting of the Listing Review Committee of Shanghai Stock Exchange, marking the 1st convertible bonds project to pass the review on the STAR Market in 2025.
Recently, the registration for private placement of shares by Ningxia Younglight Chemicals Co., Ltd. (000635.SH) (hereinafter referred to as “Younglight”) was approved by the China Securities Regulatory Commission, for which Grandall Yinchuan served as special legal counsel to the issuer.
On 27 November, 2024, Pony AI Inc. (NASDAQ: PONY) was successfully listed on the NASDAQ Stock Exchange, becoming the first Robotaxi company to go public in the world. BAIC Group Co., Ltd. made a strategic investment in Pony and subscribed for its ADS with an amount exceeding USD 70 million. Grandall served as the legal advisor for BAIC Group in the deal with Partners Yang Juan and Li Bo in charge of the aspects related to foreign investment and state-owned assets supervision, Partner Lu Ruyi responsible for anti-monopoly and Partner Hu Jing for compliance and national security review.
